It is important to note that the scope of our Service may evolve over time and additionalfunctionalities or features may be introduced in accordance with emerging business needsand technological advancements.
To gain full access to the Service, Users are required to create an Account, which involvesproviding accurate and complete registration information and updating such information asnecessary to maintain its accuracy. The User is responsible for maintaining theconfidentiality of their Account and password and for restricting access to their computer ordevice, and they agree to accept responsibility for all activities that occur under theirAccount. We reserve the right to refuse service, terminate accounts, remove or edit content,or cancel orders at our sole discretion.
From time to time, we may offer a free trial period for our Service, the specifics of which willbe provided at the initiation of the offer. If you choose to continue using the Service after thetrial period, your Subscription will automatically commence, and your provided paymentmethod will be charged. You will still be responsible for usage fees, as defined in sectionseven, despite being on a free trial. You have the option to cancel your Subscription at anytime. Cancellation requests must be made through your Account settings or by contactingour customer service team. Following cancellation, your access to the Service will persistuntil the end of the current billing period.
You agree to pay the fees for using our Services as outlined in your subscription plan ororder form.
In addition to the fees, you are responsible for paying all applicable taxes related to your useof our Services, excluding taxes based on AI Front Desk, Inc.'s income.
Any feedback, comments, or suggestions you may provide regarding the Services is entirelyvoluntary and we will be free to use such feedback as we see fit and without any obligationto you. By providing feedback, you grant us a non-exclusive, worldwide, royalty-free,perpetual, and irrevocable license to use your feedback in any manner related to ourServices.
Our Service is offered on a digital, subscription-based model. As such, refunds are generallynot provided. Exceptions may be made at our discretion, subject to specific circumstances.Should you believe you are entitled to a refund, please submit a request in writing to ourcustomer support within the specified timeframe. Your eligibility for a refund will be assessed based on various factors, including but not limited to service usage, compliance with ourTerms, and the nature of the issue prompting the refund request.

We do not guarantee that the Service will always be availableor be uninterrupted. We may suspend, withdraw, discontinue, or change all or any part of ourService without notice. We will not be liable if, for any reason, our Service is unavailable atany time or for any period.

We do notendorse or assume any responsibility for any such third-party sites, information, materials,products, or services. Any feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions")provided by you to AI Front Desk, Inc. regarding the Service shall remain the sole andexclusive property of AI Front Desk, Inc. We shall be free to use, copy, modify, publish, orredistribute the Suggestions for any purpose and in any way without any credit or anycompensation to you.
You agree to comply with all applicable domestic and international laws, statutes,ordinances, and regulations regarding your use of our Service and the Content and materialsprovided therein.
You agree to indemnify, defend and hold harmless AI Front Desk, Inc. and its officers,directors, employees, agents, affiliates, successors, and assigns from and against any andall losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest,awards, penalties, fines, costs, or expenses of whatever kind, including attorneys' fees,arising from or relating to your use or misuse of the Service or your breach of these Terms.This indemnification obligation will survive the termination of these Terms and your use ofthe Service.
To the fullest extent permitted by applicable law, in no event will AI Front Desk, Inc., itsaffiliates, officers, directors, employees, agents, suppliers, or licensors be liable to anyperson for any indirect, incidental, special, punitive, cover or consequential damages(including, without limitation, damages for lost profits, revenue, sales, goodwill, use ofcontent, impact on business, business interruption, loss of anticipated savings, loss ofbusiness opportunity) however caused, under any theory of liability, including, withoutlimitation, contract, tort, warranty, breach of statutory duty, negligence, or otherwise, even ifAI Front Desk, Inc. has been advised as to the possibility of such damages or could haveforeseen such damages.
AI Front Desk, Inc. provides an AI phone receptionist service that involves artificialintelligence (AI) performing various tasks such as answering calls, scheduling, andresponding to queries. While we endeavor to ensure that the AI service operates asintended, you acknowledge and agree that AI Front Desk, Inc. shall not be liable for anydirect, indirect, incidental, special, consequential, or exemplary damages, including but notlimited to, damages for loss of profits, goodwill, use, data, or other intangible losses,resulting from:
This limitation of liability shall apply to the fullest extent permitted by law in the applicablejurisdiction.
Each party represents that they have the full right and authority to enter into this Agreementand that this Agreement does not conflict with any other agreement or obligation.
You warrant that you will use our Services in compliance with all applicable laws and that thedata you provide does not infringe on any third-party rights.
AI Front Desk, Inc. provides the Services on an "as-is" and "as available" basis. Except asexpressly provided in this Agreement, we disclaim all warranties, whether express orimplied, including the implied warranties of merchantability and fitness for a particularpurpose.
Any disputes arising out of or relating to these Terms, the Service, or your relationship withAI Front Desk, Inc. shall be resolved by binding arbitration in accordance with the rules ofthe American Arbitration Association. The arbitration shall be conducted in the Englishlanguage, in the State of California, USA. The decision of the arbitrator shall be final andbinding on both parties. Notwithstanding the foregoing, either party may seek any interim orpreliminary injunctive relief from any court of competent jurisdiction, as necessary to protectthe party's rights or property pending the completion of arbitration.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If arevision is material, we will provide at least 30 days' notice prior to any new terms takingeffect. What constitutes a material change will be determined at our sole discretion. Bycontinuing to access or use our Service after those revisions become effective, you agree tobe bound by the revised terms. If you do not agree to the new terms, you are no longerauthorized to use the Service.
This Agreement commences on the Effective Date and will remain in effect until terminatedby either AI Front Desk, Inc. in accordance with these Terms.
29.1. Notices: All notices and communications must be in writing and delivered byrecognized courier services, email, or registered mail to the addresses providedin this Agreement
29.2. Force Majeure: Neither party shall be liable for delays or failures in performanceresulting from causes beyond their reasonable control, including but not limited toacts of God, labor disputes, and governmental actions.
29.3. Entire Agreement and Amendments: This Agreement constitutes the entireagreement between the parties. Any amendments must be in writing and signedby both parties.
29.4. Severability: If any part of this Agreement is found invalid or unenforceable, theremainder of the Agreement will remain in effect.
29.5. Assignment and Successors: This Agreement may not be assigned without theprior written consent of the other party, except in the case of a merger oracquisition.
